Terms of Service for Strategic, Consulting & Creative Services

This website wearechaitanya.com is operated by FOP Muntian Tetiana Olegivna, duly registered under the laws of Ukraine (the “Provider”).

This Public Offer Agreement (the “Agreement”) constitutes a legally binding Electronic Contract for the provision of professional services under the terms set forth below. By booking, purchasing, or otherwise engaging the Provider’s services through the Website or via electronic communication, the Client accepts this Agreement in full.

1. DEFINITIONS

“Services” – strategic advisory, consulting, brand strategy, marketing strategy, research, identity development, creative direction, design services, workshops, individual sessions, retainers, and other professional services provided by the Provider. 

“Client” – any individual or legal entity that purchases or engages Services. 

“Order” – confirmed booking, payment, written acceptance of proposal, or other documented engagement of Services. 

“Deliverables” – final materials, reports, strategies, visual assets, documents, or other outputs created specifically for the Client. 

“Pre-existing Intellectual Property” – all methodologies, frameworks, systems, know-how, processes, templates, and expertise developed by the Provider prior to or independently of the Client’s project.

2. SUBJECT OF THE AGREEMENT

2.1. The Provider agrees to deliver professional Services to the Client, and the Client agrees to pay for such Services. 

2.2. The scope, format, timeline, and pricing of each engagement are defined in:

• Service descriptions published on the Website; or
• a separate written proposal, Statement of Work (SOW), invoice, or contract agreed between the Parties. 

2.3. For projects exceeding a threshold determined by the Provider, a separate signed contract may apply. In case of conflict, the signed contract prevails.

3. ENGAGEMENT & ACCEPTANCE

3.1. This Agreement is considered accepted when the Client: 

• completes payment; 
• confirms a proposal via email;
• signs a Service proposal; 
• or otherwise provides written confirmation of engagement. 

3.2. Electronic communication and digital acceptance have full legal effect. The place of conclusion of this Agreement is the place of registration of the Provider (Ukraine).

4. FEES AND PAYMENT TERMS

4.1. Prices are indicated on the Website or in a proposal. 

4.2. Payment may be made via: online payment processors; bank transfer; other methods agreed in writing. 

4.3. Unless otherwise agreed:

• Full payment is required before delivery for one-time services and sessions.
• For project-based work, a non-refundable deposit (minimum 50%) is required to commence work.

Remaining balance is due according to the agreed schedule. 

4.4. Work may be suspended if payment is delayed.

4.5. All payments are non-refundable once work has commenced, except where explicitly stated otherwise. The Client acknowledges that by paying for the Services, they request immediate performance of the contract and waive their right to a cooling-off period/withdrawal under Consumer Protection Laws once performance has begun. 

4.6. Acceptance of Services: Services are considered fully accepted and performed to a high standard if the Client does not provide written, reasoned objections within 3 (three) business days after the Provider delivers the result (file, report, or session). Absence of objections within this period constitutes final acceptance.

5. CANCELLATION & RESCHEDULING

5.1. Individual sessions may be rescheduled with at least 24 hours’ notice. 

5.2. Failure to attend a scheduled session without proper notice results in forfeiture of payment. 

5.3. Project-based services are non-cancellable once initiated unless mutually agreed.

6. INTELLECTUAL PROPERTY

6.1. All Pre-existing Intellectual Property remains the sole property of the Provider. 

6.2. Ownership of Deliverables transfers to the Client only after 100% payment. 

6.3. The Provider retains the right to: use non-confidential work in portfolio and marketing materials; reference the Client’s name and project unless otherwise agreed in writing. 

6.4. The Client may not reproduce, resell, distribute, or modify proprietary methodologies without written permission.

7. CONFIDENTIALITY

7.1. Both Parties agree to keep confidential business, strategic, and proprietary information disclosed during the engagement. 

7.2. Confidentiality obligations survive termination of the Agreement.

8. NO GUARANTEES

8.1. The Provider does not guarantee specific financial, commercial, investment, branding, operational, or reputational results. 

8.2. The outcome of Services depends on multiple external factors, including Client implementation. 

8.3. The Services are advisory and strategic in nature and do not constitute legal, financial, or investment advice.

9. LIMITATION OF LIABILITY

9.1. The Provider’s total liability under this Agreement shall not exceed the total amount paid by the Client for the specific Service giving rise to the claim. 9.2. Under no circumstances shall the Provider be liable for:

• indirect damages; 
• loss of profits; 
• loss of business opportunity;
• reputational damage; 
• consequential or incidental damages.

9.3. The Client assumes full responsibility for decisions made based on the Services.

10. FORCE MAJEURE

10.1. The Provider is not liable for delays or failure due to events beyond reasonable control, including but not limited to: 

• war or military actions; 
• government restrictions; power outages (blackouts); 
• air raids;
• internet disruption; 
• natural disasters. 

Deadlines shall be extended accordingly.

11. TERMINATION

11.1. Either Party may terminate ongoing services with written notice. 

11.2. Payments made prior to termination are non-refundable. 

11.3. Upon termination, all outstanding fees become immediately due.

12. GOVERNING LAW

12.1. This Agreement is governed by the laws of Ukraine. 

12.2. Any disputes shall first be resolved through negotiation. If unresolved, disputes shall be submitted to the competent courts of Ukraine.

13. FINAL PROVISIONS

13.1. This Agreement constitutes the entire understanding between the Parties unless a separate written contract applies. 

13.2. If any provision is deemed invalid, the remainder remains in effect. 

13.3. In the event of discrepancies between the English text and the Ukrainian version (required by law), the Ukrainian version shall prevail for local regulatory purposes.

14. PERSONAL DATA PROTECTION

By accepting this Agreement, the Client grants consent to the Provider to collect and process their personal data (name, email, phone) for the purpose of executing this Agreement and providing Services, in accordance with the Law of Ukraine “On Protection of Personal Data.”
